Acceptance of terms
By accessing or using Lightswap ("Service"), operated by Lightswap Inc., a Delaware C Corporation ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Description of service
Lightswap is a personal finance platform that gives you a unified view of your money — from bank accounts and investment portfolios to cryptocurrency holdings — all managed through a conversational interface.
Core capabilities include:
- Non-custodial Bitcoin wallet — send, receive, and hold Bitcoin directly on your device with keys you control
- Bank account integration — view balances, send payments, and set up recurring transfers
- Brokerage and investment account access — monitor stock and ETF holdings across connected accounts
- Exchange connectivity — manage cryptocurrency positions on supported exchanges
- Natural language commands — interact with all of your accounts using plain English
Your keys, your coins: Lightswap includes a non-custodial Bitcoin wallet built into the app. Your private keys are generated and stored on your device — we never have access to them. For connected third-party services (banks, brokerages, exchanges), Lightswap acts as a read-and-execute layer using secure, permissioned API connections. We do not store your login credentials for these services.
2.1 Fiat-to-crypto purchase service
Lightswap enables Bitcoin purchases using payment methods including Apple Pay and Google Pay. Purchased Bitcoin is delivered directly to your non-custodial wallet. Lightswap never takes custody of your funds at any point in this process.
2.2 Purchase limits
When purchasing Bitcoin through the app, the following limits apply:
- Maximum per transaction: $500 USD (or equivalent in other supported currencies)
- These limits are set by our payment processor and may vary by region
- Limits may be adjusted based on verification level, jurisdiction, and regulatory requirements

Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.
You are responsible for compliance with all applicable laws and regulations in your jurisdiction, including those related to cryptocurrency transactions, taxation, and financial services.

User responsibilities
You agree to:
- Maintain the security of your account credentials, private keys, and API keys
- Review and verify all transactions before confirmation
- Use the Service only for lawful purposes
- Not attempt to circumvent security measures or access unauthorized areas
- Not use the Service in any way that could damage, disable, or impair the Service
- Comply with all applicable laws, including anti-money laundering (AML) and know-your-customer (KYC) regulations
4.1 Prohibited activities
The fiat-to-crypto purchase service is not available for use by brokers, exchanges, money services businesses (MSBs), or high-volume institutional traders for commercial or resale purposes.
You may not use the Service for:
- Illegal activities including money laundering, terrorist financing, fraud, or any other criminal activity
- Purchasing Bitcoin for commercial resale or distribution
- Activities prohibited by applicable sanctions laws and regulations (including OFAC, EU, and UK sanctions)
- Circumventing transaction limits through the creation or use of multiple accounts
- Any activity that violates the terms of service or acceptable use policies of our payment processors or integration partners
Restricted jurisdictions and additional compliance requirements are enforced by our payment processors. Your ability to use the fiat-to-crypto purchase service is subject to geographic restrictions and compliance checks imposed by our integration partners.

Risks and disclaimers
Cryptocurrency risks: you acknowledge and accept the risks associated with cryptocurrency transactions, including but not limited to:
- Price volatility and potential loss of value
- Irreversibility of blockchain transactions
- Risk of loss due to forgotten passwords, lost private keys, or technical failures
- Regulatory uncertainty and potential changes in legal status
- Security vulnerabilities in third-party exchanges and wallets
No financial advice: the Service is a software tool only. We do not provide financial, investment, legal, or tax advice. Any information provided through the Service is for informational purposes only and should not be construed as advice.
Third-party services: Lightswap integrates with third-party exchanges and wallets. We are not responsible for the actions, security, or policies of these third parties.

Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHTSWAP INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Indemnification
You agree to indemnify, defend, and hold harmless Lightswap Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of another party.

Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may discontinue use of the Service at any time.
Upon termination, all rights and licenses granted to you will immediately cease, though provisions regarding limitations of liability, indemnification, and dispute resolution shall survive.

Privacy and data
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Modifications to terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
